Terms and Conditions

Version 2.0 — Effective June 1, 2026 Parada® by Parada Technologies, Inc.
These Terms and Conditions (the "Terms") form a binding agreement between you and Parada Technologies, Inc. ("Parada", "we", "us", or "our"), governing your access to and use of the Parada platform. By creating an account or using our Services you accept these Terms in accordance with Republic Act No. 8792 (the Electronic Commerce Act of 2000). Please pay particular attention to Section 13 (Disclaimers & Limitation of Liability) and Section 19 (Dispute Resolution & Governing Law).

1. Overview

Parada operates an online marketplace that connects Drivers seeking parking with Parking Owners who have underutilized parking spaces within Philippine residential, commercial, and mixed-use properties. We provide the platform; we do not own, manage, lease, operate, or supply parking spaces ourselves.

These Terms govern your access to and use of the Parada website at www.parada.ph, the Parada mobile applications, and related services that link to or reference these Terms (collectively, the "Services").

Read these Terms together with our Privacy Policy and the Parking Space Agreement. If there is any conflict between these Terms and the Parking Space Agreement on matters relating to a specific booking, the Parking Space Agreement controls.

2. Acceptance & Eligibility

By creating a Parada account, listing a parking space, booking a parking space, or otherwise using the Services, you confirm that:

  • You have read and understood these Terms and agree to be bound by them.
  • You are at least eighteen (18) years old and have the legal capacity to enter into binding agreements under Philippine law.
  • You will use the Services only for lawful purposes.
  • The information you provide to Parada is true, accurate, current, and complete.
  • If you accept these Terms on behalf of a company or other legal entity, you have the authority to bind that entity to them.

If you do not meet these requirements, or do not agree with any part of these Terms, you must not use the Services.

In line with Republic Act No. 8792 (Electronic Commerce Act) and the Rules on Electronic Evidence (A.M. No. 01-7-01-SC), your electronic acceptance — including by clicking "Sign Up," "Continue," "Pay," "Confirm," or similar buttons within the Services — has the same legal effect as a handwritten signature and is admissible as evidence in Philippine courts and tribunals.

3. Definitions

  • "Platform" means the Parada website, mobile applications, and related digital services.
  • "User" means any individual who accesses or uses the Platform.
  • "Driver" (or "Customer") means a User who searches for, requests, books, or pays for parking on the Platform.
  • "Parking Owner" (or "Owner" or "Provider") means a User who lists, offers, or grants access to a parking space on the Platform.
  • "PMO" / "BMO" means a Property or Building Management Office, homeowners' association, or building administrator responsible for verifying residents and enforcing property-specific rules.
  • "Listing" means a specific, time-bounded offer to rent a parking space published by an Owner on the Platform.
  • "Booking" means a Driver's request and an Owner's acceptance for the use of a Listing on specified dates and at agreed-upon rates.
  • "Services" include account creation, identity verification, space listing, search, booking, on-demand parking requests, payments, in-platform messaging, notifications, and related features.
  • "Service Fee" means the fee Parada charges, as described in Section 8.
  • "Payment Processor" means Xendit and its acquiring partners, or any other licensed payment gateway Parada engages to process payments.
  • "Content" means all text, images, photos, videos, ratings, reviews, messages, and other materials uploaded, posted, or transmitted through the Platform.

4. Other Terms That Apply

In addition to these Terms, the following Parada documents apply to your use of the Services:

  • Privacy Policy — how Parada collects, uses, stores, and shares your personal data under the Data Privacy Act of 2012 (RA 10173).
  • Parking Space Agreement — the bilateral agreement that governs every short-term parking booking between a Driver and an Owner. By completing a booking or accepting a booking, both parties agree to the version of that document in effect at the time.
  • Payment Processor Terms — payments are processed by Xendit, whose terms apply to the financial transaction itself. Parada is not a party to those terms.
  • Property Rules — PMOs and building administrators may impose additional rules for access, parking conduct, vehicle types, hours, and security at their properties. You agree to abide by those rules in addition to these Terms.

5. Account Registration & Verification

5.1 Sign-up

You may register for a Parada account using your email address and a password, or by using a supported single-sign-on provider (currently Google, Facebook, or Apple). Registration is currently free of charge.

5.2 Email verification

Every new account — regardless of sign-up method — must verify the email address on file before being permitted to upload identity documents or use core platform features. Parada sends a verification link valid for twenty-four (24) hours; you may request a new link if it expires.

5.3 Identity verification (KYC)

To use the Platform for bookings or listings, you must complete identity verification by uploading the documents Parada requests (e.g., government-issued ID, tenant or resident ID, proof of residency, and where applicable, parking-slot assignment documents). Parada is the primary reviewer and final decision-maker for every account verification. As part of this review, Parada coordinates with the relevant Property Management Office (PMO) of your community — a Parada partner under our PMO Partnership Programme — to cross-check residency, tenancy, or ownership records where the community participates. PMOs do not approve or reject Parada accounts on their own; that decision rests with Parada. Review typically takes 1–2 business days.

Data Privacy Act (RA 10173) compliance. The entire document lifecycle — collection, storage, processing, delivery, and display — by both Parada and our partner PMOs is conducted in compliance with the Philippines Data Privacy Act of 2012 and its Implementing Rules and Regulations. Specifically: documents are transmitted over encrypted channels (TLS in transit, AES at rest in access-controlled object storage); reviewers operate under role-based access controls and a documented purpose limitation; verification data is never used for marketing, profiling, or any purpose other than residency verification; and access logs are retained for audit. You may exercise your data-subject rights (access, correction, withdrawal of consent, or erasure) at any time by emailing [email protected].

Parada × PMO Partnership Programme. Parada onboards each participating PMO under a formal partnership agreement that defines verification coordination, the data-handling guardrails above, and incident-escalation procedures. The result is a single trusted ecosystem: residents get a Parada account that's already aligned with their building's records, owners get faster verified listings, and PMOs get a transparent, DPA-compliant audit trail of resident activity within their premises.

5.4 Account roles

Each account is associated with a single role (Driver or Owner). Switching roles within the same account is not supported. If you need both, create separate accounts with different email addresses, or contact [email protected] for assistance.

5.5 Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify [email protected] immediately if you suspect unauthorized access. You may not allow others to use your account, impersonate any other person, or hold more than one active registration. Parada reserves the right to delete or merge duplicate accounts.

6. User Obligations

  • Provide accurate, complete, and current information at registration and keep your account details up to date.
  • Comply with all applicable laws, ordinances, regulations, and PMO / building rules at the property where you park or where your listed space is located.
  • Treat other Users (Drivers, Owners, PMOs, support staff) with respect; do not engage in harassment, discrimination, or abusive behavior.
  • Use only the in-Platform messaging system and payment flows; do not solicit or accept off-platform payments, deposits, or bypass arrangements.
  • Do not list or book any parking space for an unlawful purpose, including obstruction of fire lanes, accessibility routes, or restricted areas.
  • Owners: ensure that listings accurately describe the space, including vehicle-type fit, hours of availability, access requirements, and any restrictions.
  • Drivers: arrive and depart within the booked window; park only in the assigned slot; follow access instructions; and do not leave the property in a way that obstructs other Users.

7. Listings & Bookings

7.1 Listings (Owners)

Once your parking space is verified and Active, you may create one or more Listings for that space. Each Listing specifies dates, times, rate type (hourly, daily, weekly, or monthly), price, and whether the Owner also accepts hourly bookings alongside the primary term. You are responsible for ensuring that Listings do not overlap and that information is accurate at the time of publication.

7.2 Bookings (Drivers)

A booking is created when a Driver submits a request and the Owner approves it. Until approval and full payment, a parking slot is not reserved. After full payment, the slot is locked for the booking window and other Drivers cannot book it.

7.3 Booking lifecycle

Each booking moves through statuses such as BookedApprovedPaidActiveCompleted, and may be Declined, Cancelled, or Expired. If an Owner declines a specific booking, Parada may convert the request into an on-demand request that other compatible Owners in the same property may accept; the Driver will be notified of this conversion.

7.4 Residence-based scope

Bookings are scoped to the Driver's registered residency. Drivers may book within their registered building or community. If you need access to a different property, register a separate account using a different email address or contact support.

8. Payments, Fees & Refunds

8.1 Payment processor

All online payments on the Platform are processed by Xendit, a licensed payment gateway operating in the Philippines. Supported payment channels include debit/credit cards, GCash, Maya, online banking, and other methods Xendit makes available. Parada does not store full card numbers or CVV details.

8.2 Service Fee

Parada charges a Service Fee on each booking that is added to the parking price at checkout. The current Service Fee is 10% of the parking fee, presented to the Driver as an itemized line on the cart, checkout, and confirmation pages. Promotional codes may waive the Service Fee where Parada offers them.

8.3 Owner payouts

Owners receive their share of Booking proceeds through Parada's Disbursements workflow. Payouts are subject to verification of bank details, applicable hold periods for fraud and chargeback protection, and any withholding required by Philippine tax law.

8.4 Taxes

Each party is responsible for its own taxes arising from transactions on the Platform, including income tax and any applicable VAT or percentage tax. Parada may collect tax information or issue documentation as required by the Bureau of Internal Revenue.

8.5 Refunds

Refunds, where applicable, are processed by the Parada team back to the original payment method. Refund timing depends on the payment channel (typically 3–10 business days). Service Fees may be non-refundable, as disclosed at checkout. Specific refund eligibility for cancellations and force-majeure events is set out in the Parking Space Agreement.

9. Cancellations & Extensions

  • Driver cancellations before Owner approval are free of charge. Cancellations after approval may incur charges as outlined in the Parking Space Agreement and at checkout.
  • Owner declines of a specific booking may convert the request into an on-demand request visible to other compatible Owners in the same property.
  • Extensions may be requested by a Driver before the booking end-time, subject to Owner approval and a new Xendit invoice for the additional period.
  • Owner cancellation of a confirmed booking after the Driver has paid is treated as a service failure; the Driver is entitled to a full refund and Parada may pursue platform-level remedies against the Owner.

10. In-Platform Communications

Parada provides an in-platform, end-to-end-encrypted messaging system between Drivers and Owners during the lifetime of a booking. To preserve user safety, protect privacy, and prevent off-platform circumvention:

  • You must keep all booking-related communications within the in-platform chat.
  • Sharing of personal phone numbers, off-platform payment instructions, or referrals to other parking services through the chat is prohibited and may be automatically blocked.
  • Sending unsolicited promotional content, spam, or harassing messages is grounds for account suspension.
  • Parada administrators may access chat content only as necessary to investigate abuse reports, fraud, or legal requests; such access is logged for audit purposes.

11. Prohibited Use

You agree not to:

  • Use the Platform for any unlawful, fraudulent, deceptive, or harmful purpose.
  • Post or transmit content that is illegal, defamatory, obscene, discriminatory, or that infringes any third party's rights.
  • List or use parking spaces that you have no lawful authority to offer or occupy.
  • Attempt to circumvent the Platform's payment flow (e.g., accepting off-platform payments or kickbacks).
  • Interfere with or disrupt the operation of the Platform, including by introducing viruses, exploits, scraping, or excessive automated requests.
  • Reverse-engineer, decompile, or attempt to extract the source code or trade secrets of the Platform, except as expressly permitted by law.
  • Use the Platform in a manner that violates Republic Act No. 10175 (the Cybercrime Prevention Act of 2012), including unauthorized access, identity theft, or data interference.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

Parada may suspend or terminate accounts that violate this section, and may report violations to the appropriate authorities.

12. Intellectual Property

12.1 Parada's rights

The Platform — including its software, designs, logos, trademarks (including "Parada®"), text, graphics, and other content created by Parada — is owned by Parada Technologies, Inc. or its licensors and is protected by Philippine and international intellectual property laws, including Republic Act No. 8293 (the Intellectual Property Code of the Philippines). Nothing in these Terms transfers any of Parada's intellectual property rights to you.

12.2 Your content

You retain ownership of content you submit to the Platform (e.g., photos, reviews, descriptions). By submitting such content, you grant Parada a non-exclusive, royalty-free, worldwide license to host, store, reproduce, display, and process that content for the purpose of operating and improving the Services, and you represent that you have all necessary rights to grant this license.

12.3 Reviews

Reviews and ratings you submit may be published on the Platform with your first name and last initial. Parada may moderate reviews that violate these Terms or applicable law.

13. Disclaimers & Limitation of Liability

13.1 Marketplace role

Parada is a technology platform that facilitates transactions between Drivers and Owners. We are not a party to the actual parking arrangement, and we do not own, lease, manage, operate, supervise, insure, or control any parking space listed on the Platform. The license to park is granted by the Owner, not by Parada.

13.2 No warranty of vehicle security

Consistent with the disclaimer set out in the Parking Space Agreement and Civil Code Articles 1962–1998, neither Parada nor any Owner acts as a depositary (custodian) of any vehicle, its contents, or its accessories. Drivers park at their own risk and are solely responsible for securing the vehicle.

13.3 "As is" and "as available"

To the maximum extent permitted by Philippine law, the Services are provided on an "as is" and "as available" basis. Parada makes no warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We do not guarantee that the Services will be error-free, secure, or continuously available.

13.4 Limitation of liability

To the maximum extent permitted by Philippine law, Parada's total cumulative liability to you in connection with any booking is limited to the total amount you paid to Parada for that specific booking. Parada is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of goodwill, or loss of data.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under Philippine law, including liability for fraud, gross negligence, willful misconduct, or violation of consumer-protection laws.

14. Indemnification

You agree to indemnify, defend, and hold harmless Parada, its directors, officers, employees, agents, and affiliates from and against any claims, demands, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of any law, regulation, or third-party right; (c) your misuse of the Services; or (d) any dispute between you and another User. Parada reserves the right to assume the exclusive defense of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defense.

15. Privacy & Data Protection

Parada processes personal data in accordance with our Privacy Policy and the Data Privacy Act of 2012 (RA 10173), its Implementing Rules and Regulations, and issuances of the National Privacy Commission (NPC). By using the Services, you acknowledge that you have read the Privacy Policy and consent to the processing of your personal data as described in it.

16. Consumer Rights (RA 7394)

Nothing in these Terms limits the consumer-protection rights granted to you under Republic Act No. 7394 (the Consumer Act of the Philippines), its implementing rules, or other applicable consumer-protection laws. These Terms are intended to operate alongside those laws, not to override them.

If you believe Parada or another User has engaged in conduct that violates your rights as a consumer, you may also seek redress through the Department of Trade and Industry (DTI) or other competent authorities, in addition to the Platform's internal dispute-resolution process described in Section 19.

17. Force Majeure

Parada is not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, typhoons, earthquakes, floods, fires, epidemics or pandemics, civil disturbances, governmental orders or actions, labor disputes, internet or telecommunications outages, or failures of third-party services such as payment processors or cloud providers.

Where a booking is affected by a force-majeure event, refund and rescheduling rules set out in the Parking Space Agreement apply.

18. Term & Termination

These Terms apply from the moment you first access or register on the Platform and continue until your account is closed.

18.1 Closure by you

You may close your account at any time through the account-deletion option in your settings or by emailing [email protected]. Closure takes effect once confirmed. Some data may be retained as described in our Privacy Policy for legal, accounting, or fraud-prevention purposes.

18.2 Suspension or closure by Parada

We may suspend or terminate your access to the Services, with or without prior notice, if we reasonably believe that you have breached these Terms or any applicable law, posed a safety or security risk, or engaged in fraud, abuse, or repeated complaints. Where reasonable and lawful, we will provide notice and an opportunity to respond before final action.

18.3 Surviving provisions

The following sections survive the termination of these Terms: Sections 12 (Intellectual Property), 13 (Disclaimers & Limitation of Liability), 14 (Indemnification), 15 (Privacy & Data Protection), 19 (Dispute Resolution & Governing Law), and any other provision that by its nature should survive.

19. Dispute Resolution & Governing Law

19.1 Governing law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-laws principles.

19.2 Three-step dispute resolution

Before initiating legal action, the parties agree to attempt to resolve disputes through the following sequence:

  1. Direct communication between the affected Users via in-platform messaging, in good faith.
  2. Parada mediation. If direct communication does not resolve the matter within seven (7) calendar days, either party may escalate to Parada by emailing [email protected]. Parada will review the case in good faith and may issue a recommendation, refund decision, or other platform-level action.
  3. Small Claims or regular courts. If the dispute remains unresolved and falls within the jurisdictional thresholds, either party may file a small-claims case under the Revised Rules of Procedure for Small Claims Cases (A.M. No. 08-8-7-SC); otherwise, the dispute may be brought before the regular courts of competent jurisdiction.

19.3 Venue

Subject to the exclusive jurisdiction of small-claims and other courts where required by law, the parties submit to the exclusive jurisdiction of the courts of Mandaluyong City, Metro Manila, for any dispute arising out of or in connection with these Terms — without limiting Parada's right to bring proceedings in any other jurisdiction where you or your assets are located.

20. Updates to these Terms

Parada may update these Terms from time to time to reflect changes in the Services, applicable law, or business practices. Material updates will be communicated through reasonable means, such as a notice on the Site or an email to your registered address. The version effective at the time of your interaction governs that interaction.

Tip: The current version and effective date are shown at the top of this page. Your continued use of the Services after an update constitutes acceptance of the updated Terms. If you do not agree with a change, you may stop using the Services and close your account.

21. Severability & Miscellaneous

  • Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
  • No waiver. Parada's failure to enforce any provision of these Terms is not a waiver of our right to do so later.
  • Assignment. You may not assign or transfer your rights or obligations under these Terms without Parada's prior written consent. Parada may assign these Terms to any affiliate or successor in connection with a corporate transaction.
  • Entire agreement. These Terms, together with the Privacy Policy and the Parking Space Agreement, constitute the entire agreement between you and Parada regarding the Services and supersede all prior agreements on the same subject matter.
  • Notices. Notices to you may be given by email to the address on file or by posting on the Site. Notices to Parada must be sent to [email protected].
  • Language. These Terms are drawn up in English. In the event of any conflict between an official English version and any translation, the English version prevails.
  • Compliance with applicable laws. These Terms are intended to comply with, and be interpreted consistently with, the Civil Code of the Philippines, RA 7394 (Consumer Act), RA 8792 (E-Commerce Act), RA 10173 (Data Privacy Act), RA 10175 (Cybercrime Prevention Act), and RA 8293 (Intellectual Property Code), together with their implementing rules and regulations.
